Temlis License Agreement

This License Agreement (“Agreement”) is a legal contract between you (“User” or “Licensee”) and Temlis (“Licensor”) regarding your use of design assets, templates, components, and related materials (“Resources”) made available via the Temlis website at https://www.temlis.com (“Site”).

By accessing or using any Resources from the Site, you agree to the terms outlined in this Agreement. If you do not agree, you must not use the Resources.

1. License Grant

Temlis grants you a limited, non-exclusive, non-transferable license to use the Resources for personal or commercial purposes, in accordance with this Agreement.

2. Permitted Uses

a. You may use the Resources in unlimited personal, commercial, or client projects.

b. You may modify, adapt, and customize the Resources as needed for your specific use.

c. You may integrate the Resources into websites, applications, or other digital products, provided they are not offered as standalone files.

3. Restrictions

a. You may not resell, sublicense, distribute, or share the Resources, either in original or modified form, as standalone files or within any product library or design system for resale or redistribution.

b. You may not use the Resources to develop derivative templates, themes, or toolkits intended for resale on marketplaces or similar platforms.

c. You may not archive, host, or store the Resources outside the scope of your active license or subscription for future unauthorized use.

d. You may not use the Resources in violation of any applicable laws or regulations.

e. Excessive or automated downloading, API misuse, or other behavior suggesting abuse of access rights may result in termination of this license without prior notice.

4. Intellectual Property

All Resources remain the intellectual property of Temlis. No ownership rights are transferred to the Licensee under this Agreement. All rights not explicitly granted are reserved.

5. Updates and Support

Temlis may, but is not obligated to, provide updates, bug fixes, improvements, or support services. Availability of support may depend on your current subscription plan.

6. Disclaimer and Limitation of Liability

a. The Resources are provided “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability or fitness for a particular purpose.

b. Temlis shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Resources.

7. Termination

This Agreement is effective until terminated. Temlis reserves the right to terminate the license at any time if you breach any of its terms. Upon termination, you must cease all use of the Resources and permanently delete any copies in your possession.

8. Governing Law

This Agreement shall be governed and interpreted under the laws of the State of Wyoming, United States. Any legal action or proceeding shall be brought in the courts located in Sheridan, Wyoming.
